MEMBERSHIP TERMS AND CONDITIONS

1. Definitions and Interpretation

In these Terms and Conditions:

“WiseFitt”, “we”, “us” or “our” means WiseFitt Limited.

“Member” means an individual who has entered into a paid membership agreement with WiseFitt.

“Services” means the gym facilities, equipment, classes, training programmes, recovery services, and any other services made available by WiseFitt at its premises during published opening hours.

References to legislation include any amendments or re-enactments. Headings are for convenience only and do not affect interpretation.

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions shall continue in full force and effect.

2. Agreement

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and WiseFitt. By purchasing a membership, class, programme, treatment, or by accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms, together with any applicable policies, including but not limited to, the Health Declaration, and the Liability Waiver.

Your membership agreement entitles you to use our Services which are subject to change from time to time.

3. Membership Eligibility

Memberships are personal, non-transferable, and may only be used by the individual named on the membership account. Members must be at least 18 years of age unless enrolled in a specific junior or youth programme approved by WiseFitt, which will require written parental or guardian consent and compliance with any supervision requirements. We reserves the right, at its discretion and on reasonable grounds (including but not limited to safety, security, reputational risk, or regulatory compliance), to refuse, suspend, or restrict access to the facilities.

Members must comply at all times with our rules, policies, procedures, and codes of conduct as amended from time to time. These are made available at WiseFitt premises and/or on our website or other communication platforms.

Members are deemed to have read, understood, and accepted these policies upon joining and by continued use of the facilities.

Sharing access credentials or allowing another person to use your membership is a serious breach of these Terms and may result in immediate suspension or termination without refund and we reserve the right to recover any losses or fees arising from misuse.

4. Mandatory Policies

To maintain a high standard of service, safety, and conduct for the benefit of all members, we operate various rules, policies, procedures, and standards, as amended from time to time.

All members must act respectfully and responsibly while on the premises and must comply at all times with all such policies in force, whether displayed at the gym, published on the our website, incorporated into member communications, or otherwise made available to members.

Members are deemed to have read, understood, and accepted all applicable policies upon joining WiseFitt and by their continued use of the facilities.

5. Services, Staffing and Supervision

WiseFitt operates as a staffed gym. During normal opening hours, staff will be present on site. However, staff presence does not constitute constant supervision of individual Members unless you are participating in a coach-led session, personal training session, or supervised programme.

Certain programmes, including Small Group Personal Training (SGPT), functional training classes, and personal training sessions, are led and supervised by qualified coaches. During these sessions, exercises will be demonstrated and guided, and reasonable instruction will be provided.

During open gym sessions or non-class hours, Members are expected to know how to safely and properly use the equipment available to them.

6. Inductions and Member Responsibility

WiseFitt offers gym inductions to Members who require guidance on the safe and proper use of equipment. It is your responsibility to request an induction if you are unfamiliar with any equipment or are unsure how to use it safely.

If you are not confident using any equipment, you must seek advice and guidance from a member of staff before use.

Failure to do so is done entirely at your own risk.

7. Health, Fitness and Medical Responsibility

You confirm that you are physically fit and medically able to participate in exercise and use the Services. You are responsible for monitoring your own physical condition and wellbeing at all times.

If you have any medical condition, injury, illness, or are pregnant, you should seek medical advice from a qualified healthcare professional before using the Services and must inform WiseFitt staff where relevant.

8. Membership Fees and Payment

Membership fees and any other agreed charges must be paid in advance using an approved payment method. You are responsible for ensuring that payments are made on time.

If any payment remains outstanding for more than fourteen (14) days, WiseFitt may suspend your access to the Services until payment is brought up to date. Membership will continue to run during any period of suspension.

If payment remains outstanding for more than thirty (30) days, WiseFitt may terminate your membership by written notice. Where your membership is terminated due to non-payment, you will remain liable for:

(a) all membership fees and charges properly due up to the date of termination; and

(b) a termination charge equal to three (3) months’ membership fees.

The termination charge represents a genuine and reasonable estimate of the costs and losses incurred by WiseFitt as a result of early termination, including administrative costs, lost capacity, and the allocation of coaching and facilities.

WiseFitt may also recover any reasonable administrative or recovery costs incurred in connection with outstanding payments, to the extent permitted by law.

For clarity, any termination charge applies only where expressly stated in these Terms and will not apply to termination for convenience or where there is no material breach by the member.

9. Membership Fee Reviews and Adjustments

We may review and adjust membership fees no more than once in any twelve-month period. Any change will take effect only after providing at least thirty (30) days’ written notice to members.

Fee adjustments will be made for valid business or legal reasons, including (without limitation) increased operating costs, inflationary pressures, or changes in law or regulatory requirements.

If you do not accept a fee adjustment, you may cancel your membership by giving written notice within the notice period, and no termination charge or penalty will apply.

10. Set-Off of Outstanding Amounts

WiseFitt may set off any undisputed and overdue amounts owed to it by you against any sums properly due to you under this agreement, including credits, refunds, or promotional entitlements, provided that such set-off is permitted by law.

Set-off will not apply where you have raised a genuine dispute in relation to the relevant amount or where doing so would prevent you from exercising your statutory rights.

This clause does not limit your right to claim a refund or credit where required by law.

11. Types of Membership

11.1 Monthly Rolling Membership

Monthly rolling memberships renew automatically each month and have no minimum commitment period. To terminate, you must give two full calendar months’ written notice by email to info@wisefitt.com (or by any other method we make available). For example, if notice is given on 15 March, the notice period will start on 1 April and membership will end on 31 May.

Your access to the gym and Services will continue until the end of the final paid period.

11.2 Annual Membership

Annual memberships are for a minimum commitment period of twelve (12) months and may be paid in full or by monthly instalments.

You have a 14-day cooling-off period from the start date of your membership during which you may cancel for a full refund. This does not affect your statutory rights.

After the cooling-off period, refunds are not available except where required by law or in exceptional circumstances, such as verified long-term medical incapacity, assessed on a case-by-case basis.

If you permanently relocate to an address more than ten (10) miles from the gym, you may request early termination of an annual membership by giving three (3) full calendar months’ written notice, provided that your membership fees are up to date.

Alternatively, subject to reasonable management approval, you may transfer the remaining period of your annual membership to a new non-member nominee.

Any relocation request must be supported by reasonable documentary evidence of the new address (such as a tenancy agreement, mortgage statement, or utility bill). The notice period will commence on the date WiseFitt confirms acceptance of satisfactory evidence.

All cancellation requests must be submitted in writing by email to info@wisefitt.com.

12. Medical Incapacity - Evidence and Abuse Prevention

Any request for cancellation, suspension, or refund on medical grounds must be supported by independent written evidence from a suitably qualified medical professional (such as a GP, consultant, or physiotherapist), EXPRESSLY confirming (1) the nature of your medical condition (2) date diagnosed of such condition and (3) that you are medically unfit to participate in physical exercise for a continuous period of at least three (3) months.

Minor, short-term, or temporary conditions (including general aches, soreness, or intermittent back pain) will not normally qualify as medical incapacity for the purposes of early termination. In such cases members can opt for a Membership Hold.

No medical cancellation, suspension, or refund will be granted where:

(a) the condition existed at the time of joining and was not disclosed to WiseFitt;

(b) the condition does not materially prevent participation in exercise with reasonable modification;

(c) the request is made retrospectively for periods already used or paid; or

(d) WiseFitt reasonably believes the request is being made dishonestly or abusively.

Any medical relief granted will take effect from the date satisfactory evidence is received, not retrospectively.

Any medical information provided will be processed confidentially and in accordance with applicable data protection and privacy laws.

13. Membership Hold (Freeze Option)

You may request to place your membership on hold for a minimum period of one (1) month and a maximum of three (3) months in any rolling twelve-month period.

To request a membership hold, you must notify WiseFitt in writing by email to info@wisefitt.com at least fourteen (14) days before the intended start date, specifying the requested hold period.

A non-refundable hold fee of £25 per month will apply and must be paid in advance. During an approved hold period, direct debit payments will be paused. In the case of an annual membership, the membership term will be extended by the duration of the hold.

The membership hold option is intended to provide flexibility for temporary absences or short-term circumstances. It is not a substitute for cancellation and does not affect your right to request termination or relief on medical grounds where supported by appropriate evidence in accordance with these Terms.

Where a membership hold is requested for medical reasons, WiseFitt may require reasonable independent medical evidence confirming that you are temporarily unable to participate in physical exercise. Any medical hold will take effect from the date satisfactory evidence is received, not retrospectively.

WiseFitt reserves the right to refuse or limit a membership hold where repeated or abusive requests are made, provided such refusal is reasonable and proportionate.

Membership holds cannot be backdated and cannot be applied to periods that have already been used or paid for.

14. Early Bird Discount

Members who join under an Early Bird Discount are entitled to retain the discounted membership rate for the duration of their continuous membership. If a membership is cancelled, terminated, or lapses for any reason, the Early Bird Discount is permanently forfeited and cannot be reinstated.

The Early Bird Discount is personal to the member, cannot be transferred, and cannot be combined with any other offer or promotion.

WiseFitt reserves the right to review, amend, or withdraw promotional offers for new memberships at any time. Any such changes will not affect existing members who are already benefiting from an Early Bird Discount, provided their membership remains continuous.

15. Suspension or Termination of Membership

WiseFitt may suspend or terminate your membership, acting reasonably, where you:

breach these Terms and Conditions or any applicable Code of Conduct;

allow another person to use your membership;

engage in abusive, unsafe, threatening, or disruptive behaviour; or

fail to pay membership fees or associated charges within the time required.

Where a breach is capable of remedy, WiseFitt may (but is not obliged to) provide you with an opportunity to remedy the breach before taking further action.

In cases of serious misconduct, including behaviour that poses a risk to health, safety, staff, or other members, WiseFitt may terminate membership with immediate effect.

Where membership is terminated for breach, you will not be entitled to a refund of fees already paid, subject always to your statutory rights. You will remain liable for any membership fees and charges properly due up to the date of termination, in accordance with these Terms.

Members may request voluntary suspension of membership on medical grounds. Any such request must be supported by reasonable written medical evidence and will be assessed in accordance with WiseFitt’s medical suspension and anti-abuse provisions. Any suspension granted will take effect from the date satisfactory evidence is received, not retrospectively.

16. Termination for Serious Misconduct

WiseFitt may terminate a membership with immediate effect where a member engages in serious or repeated misconduct, including behaviour that is threatening, abusive, dishonest, deliberately disruptive, or that poses a risk to staff, other members, or the safe operation of the gym.

Where termination occurs due to serious misconduct, the member will remain liable for:

(a) all membership fees and charges properly due up to the date of termination; and

(b) a termination charge equal to three (3) months’ membership fees, provided that:

• the misconduct is material and deliberate;

• termination is a proportionate response; and

• WiseFitt has acted reasonably in all the circumstances.

The termination charge represents a reasonable estimate of the loss incurred by WiseFitt as a result of early termination and disruption, including administrative costs, lost capacity, and staff time.

No termination charge will apply where WiseFitt terminates membership for convenience, operational reasons, or without material breach by the member

17. Refund, Purchase and Cancellation Policy

17.1 Refund Policy

You are entitled to a full refund during the statutory 14-day cooling-off period, where applicable.

A refund may also be issued where WiseFitt is unable to provide the Services for more than fourteen (14) consecutive days for reasons within our control.

Where a refund is due, it will be processed to the original payment method within fourteen (14) days.

Except where required by law or expressly stated in these Terms, payments are non-refundable once a service period has commenced, as capacity, staff time, and facilities are allocated in advance.

17.2 Class Cancellation Policy (Functional Training & Group Classes)

You may cancel a booked class free of charge up to three (3) hours before the scheduled start time.

Where cancellation occurs within three (3) hours of the start time, or where you fail to attend:

Unlimited Class Members: a £5 late cancellation / no-show charge may apply

Limited Class Members: one class credit will be deducted

Non-Members: 100% of the class fee will be charged or the class credit forfeited

These charges represent a reasonable estimate of loss arising from late cancellation, including lost capacity and staff costs.

Where a member repeatedly cancels late or fails to attend, WiseFitt may reasonably restrict advance bookings.

WiseFitt reserves the right to refuse participation where a member arrives after a class has started, for safety and disruption reasons.

Where bookings are made through a third-party platform, the third-party’s cancellation terms will apply.

17.3 Small Group Personal Training (SGPT) Cancellation Policy

SGPT sessions may be cancelled free of charge up to three (3) hours before the scheduled start time.

Late cancellations or non-attendance will result in:

Unlimited Members: a £5 late cancellation / no-show charge

Limited Members: forfeiture of the session credit

Non-Members: charge of 100% of the session fee or forfeiture of the credit

Persistent late cancellations or non-attendance may result in reasonable booking restrictions.

WiseFitt may refuse participation if a participant arrives after the session has started.

Third-party booking terms apply where relevant.

17.4 One-to-One Personal Training (PT)

One-to-one personal training sessions must be cancelled at least twelve (12) hours before the scheduled start time.

Cancellations within twelve (12) hours or failure to attend will result in 100% of the session fee being payable, as the trainer’s time has been exclusively reserved.

Any exception will be considered reasonably and at the discretion of the trainer, taking into account the circumstances.

17.5 Treatments and Therapy Appointments

This section is subject to and qualified by the “Treatments and Appointments” section below. Treatment appointments must be cancelled or rescheduled at least twenty-four (24) hours before the scheduled appointment time.

Late cancellations or non-attendance may be charged at 100% of the treatment fee, as the appointment slot cannot reasonably be reallocated.

Where an appointment is successfully filled, a cancellation charge may be reduced or waived, but this is not guaranteed.

Treatment providers operate independently, and any discretion exercised will be reasonable and consistent with their professional obligations.

18. Treatments and Appointments

WiseFitt may offer treatments, therapies, or wellness services at its premises. Such treatments are provided by qualified practitioners, who may operate as independent third parties.

Where treatments are provided by independent practitioners, WiseFitt acts solely as a booking facilitator and does not provide medical, therapeutic, or clinical advice. Any contract for treatment is between you and the relevant practitioner.

Appointment times are reserved exclusively for you. Late cancellations or failure to attend prevent the appointment from being made available to other clients.

If you wish to cancel or reschedule a treatment appointment, you must provide at least twenty-four (24) hours’ notice by email to info@wisefitt.com or via the applicable booking system.

Where less than 24 hours’ notice is given, or where you fail to attend without notice, a cancellation charge of up to 100% of the scheduled treatment fee may apply, reflecting the practitioner’s reserved time and lost opportunity.

In genuine emergency situations, WiseFitt or the practitioner may reasonably waive or reduce a cancellation charge, taking into account the circumstances and any supporting evidence provided.

All treatments are undertaken at your own risk. You confirm that you are medically fit to receive the treatment booked and that you have disclosed all relevant medical conditions to the practitioner.

A pre-consultation form must be completed before your first treatment. You are responsible for notifying the practitioner of any changes to your medical condition or circumstances after completing the form.

Any health information provided in connection with treatments will be processed confidentially and in accordance with applicable data protection and privacy laws.

19. Class Packs, Bundles and Programmes

Class packs, personal training bundles, and short-term introductory offers are sold as limited-duration products and are valid only for the period specified at the time of purchase.

Unless expressly stated otherwise:

  • class and personal training bundles expire three (3) months from the date of purchase;

  • fixed-term trials activate on the date of first use and expire at the end of the stated trial period.

Unused sessions or credits:

  • expire automatically at the end of the applicable validity period;

  • are non-refundable; and have no cash value.

Programme purchases are valid for [X weeks / months] from the date of purchase or first use (as stated at sale). Any unused credits expire after this period and are non-refundable.

In exceptional circumstances, such as verified illness or injury, WiseFitt may reasonably extend validity, but is under no obligation to do so.

20. Loss, Theft and Personal Property

Lockers are provided for temporary use during your visit only. You must empty your locker and remove all personal belongings before leaving the premises.

WiseFitt does not accept responsibility for the loss, theft, or damage of personal belongings brought onto the premises, unless such loss or damage is caused by WiseFitt’s negligence or failure to take reasonable care.

You are responsible for ensuring that valuables are kept secure at all times. Items left unattended are left at your own risk.

Any lost or unclaimed items may be retained for up to four (4) weeks, after which they may be securely disposed of or donated at WiseFitt’s discretion.

21. Health Declaration

Before joining or using the Services, you confirm that you are physically fit and medically able to participate in exercise and physical activity.

You are encouraged to consult your GP or another qualified medical professional before joining if you have any medical condition, injury, illness, disability, or are pregnant. Where relevant, you should also discuss such matters with WiseFitt staff before participating in activities.

You are under no obligation to enter into this agreement immediately and may take reasonable time to seek medical advice if you are uncertain about your fitness or health condition.

By entering into this agreement and using the Services, you confirm that you have made an informed decision and that you accept responsibility for monitoring your own health and wellbeing while using the facilities.

22. Assumption of Risk and Liability Waiver

You acknowledge that participation in physical exercise, use of gym equipment, classes, treatments, and facilities involves inherent risks, including the risk of injury, illness, or property damage.

Nothing in these Terms or any guidance provided by WiseFitt staff or coaches constitutes medical advice. You remain responsible for deciding whether to participate and for obtaining appropriate medical advice where needed.

You understand that you have the right to seek medical and legal advice before agreeing to these Terms. If you choose not to do so, you accept responsibility for that decision.

You agree to use all facilities and equipment at your own risk, in accordance with any instructions, guidance, or safety notices provided.

To the fullest extent permitted by law, you release and discharge WiseFitt, its directors, employees, coaches, and contractors from liability for any injury, loss, or damage suffered as a result of using the Services, except where such injury or loss is caused directly by WiseFitt’s negligence or breach of statutory duty.

You also accept responsibility for any injury, loss, or property damage caused to other persons or their belongings as a result of your actions while on the premises.

Nothing in this clause excludes or limits liability where it cannot be lawfully excluded.

23. Changes to These Terms

WiseFitt may update these Terms from time to time to reflect changes in law, health and safety requirements, operational practices, or economic conditions.

Where changes materially affect your rights or obligations, WiseFitt will provide at least thirty (30) days’ written notice.

If you do not accept the revised Terms, you may cancel your membership within the notice period without penalty.

Continued use of the Services after the effective date of the changes will constitute acceptance.

24. Force Majeure

WiseFitt shall not be liable for any failure or delay in the performance of its obligations where such failure or delay results from events beyond its reasonable control. Such events include, but are not limited to, pandemics, epidemics, natural disasters, extreme weather, strikes, acts of government, changes in law, or restrictions imposed by public authorities.

25. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions shall continue in full force and effect.

26. Governing Law and Jurisdiction

These Terms and Conditions are governed by and shall be interpreted in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.

27. Execution and Acceptance

By signing below, you confirm that:

  • you have read, understood, and agreed to be bound by these Terms and Conditions in full;

  • you have been given the opportunity to ask questions and to seek independent legal or medical advice before entering into this agreement;

  • you understand the key provisions relating to membership duration, notice periods, fees, charges, cancellation rights, and liability; and

  • you acknowledge and accept the Health Declaration and Assumption of Risk and Liability Waiver contained in these Terms.

This agreement is effective from the date of signature (or, where accepted electronically, from the date of acceptance).
